Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Shoppi platform, including the Shopify app, merchant dashboard, storefront widgets, and APIs (collectively, the “Service”), provided by HHSHOPPI AI PRIVATE LIMITED (“Shoppi”, “we”, “us”), a company registered at E-49/5, Okhla Industrial Area, Phase II, New Delhi 110020, India.
By installing the Shoppi app, connecting via API, or using any part of the Service, you (“Merchant”, “you”) agree to be bound by these Terms.
1. Service Description
Shoppi provides AI-powered product search, recommendations, outfit generation, and conversational shopping assistance for e-commerce stores. The Service integrates with your store to index your product catalog and deliver search experiences to your storefront visitors.
2. Account and Access
- You must operate an e-commerce store to use the Service. We support Shopify, WooCommerce, and direct API integrations.
- You are responsible for maintaining the security of your store account and API credentials.
- You grant Shoppi the permissions requested during onboarding (e.g., Shopify OAuth), which include access to your product catalog and store information.
- You may revoke access at any time by uninstalling the app or disconnecting the integration from your dashboard.
3. Plans and Billing
- The Service is offered in multiple tiers. Current pricing is available on our pricing page and in the Shopify App Store listing. Annual billing is available at a discount.
- All plans include a 14-day free trial. You will not be charged until the trial period ends.
- For Shopify merchants, billing is processed through the Shopify Billing API. For other integrations, billing is handled via invoice or payment link.
- You may cancel at any time. Cancellation takes effect at the end of your current billing period.
- We reserve the right to change pricing with 30 days' written notice. Price changes do not apply to the current billing period.
4. Usage Limits
Each plan includes limits on:
- Number of SKUs (products indexed)
- Monthly API requests (search, recommendations, chat)
- Chat sessions per month
If you exceed your plan limits, the Service may throttle requests. We will not charge overage fees without your prior consent. You can upgrade your plan at any time from the dashboard.
5. Data Ownership
- Your data: You retain full ownership of your product catalog, store information, and any content you provide to the Service.
- License to us: You grant Shoppi a limited, non-exclusive license to process your data solely for the purpose of providing the Service.
- Aggregated data: We may use anonymized, aggregated usage data (e.g., total search volume trends) to improve the Service. This data cannot be used to identify you or your store.
6. Your Responsibilities
- You will not use the Service for any unlawful purpose.
- You will not attempt to reverse-engineer, decompile, or disassemble the Service.
- You are responsible for ensuring your product data complies with applicable laws and your platform's policies.
- You will not resell or redistribute the Service without our written permission.
7. Availability and Support
- We strive to maintain high availability but do not guarantee a specific uptime percentage.
- Scheduled maintenance will be communicated in advance when possible.
- Support is available via email at support@shoppi.ai.
8. Termination
- By you: You may stop using the Service at any time by uninstalling the app or disconnecting the integration.
- By us: We may suspend or terminate your access if you violate these Terms, fail to pay, or if your store is deactivated.
- Effect of termination: Upon termination, your data will be handled according to our Privacy Policy. Data from disconnected stores is preserved for 30 days, then deleted.
9. Intellectual Property
The Service, including its software, algorithms, design, and documentation, is owned by HHSHOPPI AI PRIVATE LIMITED and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
10. Limitation of Liability
To the maximum extent permitted by law, Shoppi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or profits, arising from your use of the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to Shoppi in the 12 months preceding the claim.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Indemnification
You agree to indemnify and hold harmless Shoppi from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
13. Changes to These Terms
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or a notice in the merchant dashboard. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.
